Overview
These Terms of Use (“Terms”) govern your access to and use of the AIM-UP websites, applications, and related services (collectively, the “Services”). Please read them carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who We Are
These Terms are between you and AIM-UP, LLC, a Florida limited liability company (“AIM-UP,” “we,” “us,” or “our”), with its principal place of business at: AIM-UP, LLC, 16699 Collins Avenue #3607, North Miami Beach, FL 33160, United States. AIM-UP is an alignment and intelligence SaaS platform that delivers structured insight across an organization's employee population through a consent-based assessment approach. AIM-UP helps organizations identify signals, patterns, and insights to inform human judgment, support alignment, and facilitate intentional development conversations. AIM-UP does not score, rank, or rate individuals, and all employment and other people-related decisions remain solely with the applicable customer organization.
2. Relationship with Other Agreements
We serve: (i) individual users who sign up and pay directly; and (ii) Organizations, such as employers, schools, programs, or other entities, that purchase, sponsor, or otherwise provide access to the Services for their employees, contractors, students, participants, or other authorized users (each, an “Organization”). If you are using the Services under a separate signed agreement between AIM-UP and an Organization (an “Enterprise Agreement”), then: the Enterprise Agreement governs the commercial relationship between AIM-UP and that Organization; and these Terms govern your individual use of the Services, except to the extent they conflict with the Enterprise Agreement, in which case the Enterprise Agreement will control. If you sign up and pay on your own (without an Enterprise Agreement), these Terms constitute the entire agreement between you and AIM-UP regarding the Services.
3. Eligibility
You may use the Services only if: (1) you are at least 18 years old and have the power to enter into a binding contract; and (2) you are not barred from using the Services under applicable law. The Services are intended only for users who are at least 18 years old. We do not knowingly permit anyone under 18 to create an account or use the Services. If we learn that a person under 18 has created an account, we may suspend or delete that account.
4. Accounts, Organizational Use, and Admins
To use certain features, you must create an account and provide accurate, current information. You agree to: keep your account information accurate and up to date; maintain the confidentiality of your login credentials; and notify us promptly at info@myaimup.com if you suspect unauthorized use of your account. If your access is provided by an Organization: the Organization (and its designated admins) controls who may access the Services on its behalf and may add, remove, or modify user accounts, roles, and permissions. AIM-UP relies on the Organization's instructions regarding user access, including activation, deactivation, and reactivation. If your relationship with the Organization ends (for example, you leave your employer), your access to the Services may also end.
5. Description of the Services
AIM-UP is an alignment and intelligence platform that may include, without limitation: assessments and surveys (proprietary assessments, self-reflection tools, check-ins, and related question sets); reports and dashboards (visualizations, tags, signals, patterns, themes, and trend insights based on submitted information and platform activity); frameworks and methodologies (AIM-UP models for alignment, development, team dynamics, engagement, communication, and related organizational insight topics); AI-powered insights and workflows (summaries, suggested goals, talking points, email drafts, and other generated outputs); educational content (documents, guides, videos, microlearning modules, scenario-based exercises, practice labs, and templates); and preview features (limited access to abbreviated reports or teasers, demos, or other early-access functionality, where offered). We may add, change, or remove features over time. Nothing in the Services should be understood to mean that AIM-UP makes employment, promotion, compensation, discipline, or retention decisions on behalf of any Organization, customer, or user. Where we make material changes, we will update these Terms and the “Last updated” date above.
6. User Content and Assessment Data
“User Content” means any content or data that you or your Organization submits to the Services, including: assessment responses, self-reflections, goals, tags, comments, notes, and uploaded materials; observations and other input submitted by managers, mentors, coaches, or peers about you; and any other text, media, or information you input into the platform. You retain any rights you hold in your User Content, subject to any separate agreement you may have with your Organization. You grant AIM-UP a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, use, reproduce, modify, adapt, create derivative works from, publish, display, and process User Content as reasonably necessary to: provide, maintain, secure, and improve the Services; generate reports, dashboards, and AI-powered insights for you and, where applicable, your Organization; create anonymized or aggregated data, which we may use for internal analytics, product improvement, research, reporting, and other lawful business purposes; and comply with applicable laws and enforce our rights. We do not use User Content to train third-party model providers' public AI models. AIM-UP is not an official HR, whistleblower, or legal complaint system. The Services are intended to support organizational insight, reflection, and development conversations, not to serve as a channel for filing or managing formal HR, legal, or emergency complaints. You should not use AIM-UP to upload: medical records or protected health information (PHI); social security numbers or government ID numbers; formal HR case files, investigation records, or disciplinary packets; or legal pleadings or materials for active litigation. If you need to report workplace misconduct, discrimination, harassment, or other legal issues, use your employer's official channels or appropriate legal authorities.
7. License to Use AIM-UP Content
All content provided through the Services other than your User Content — including assessments, questions, reports, dashboards, frameworks, methodologies, AI outputs, videos, documents, templates, logos, and trademarks — is owned by or licensed to AIM-UP and is protected by intellectual property laws (“AIM-UP Content”). Subject to these Terms and any applicable Enterprise Agreement, AIM-UP grants you a limited, non-exclusive, non-transferable, revocable license to: access and use the Services; and download or print your own reports, assessments, and related materials, solely for your personal use or internal use within your Organization. You may not: copy, resell, sublicense, publish, or otherwise exploit AIM-UP Content as a standalone product; rebrand or repackage AIM-UP assessments, frameworks, or reports as your own competing service; reverse engineer, decompile, or attempt to extract source code from the Services; or remove or alter any copyright, trademark, or proprietary notices. Any rights not expressly granted are reserved by AIM-UP.
8. Acceptable Use
You agree not to: (1) use the Services for any unlawful purpose or in violation of any law or regulation; (2) harass, threaten, or abuse others, or post content that is defamatory, obscene, hateful, or otherwise objectionable; (3) attempt to gain unauthorized access to the Services or another user's data; (4) interfere with or disrupt the operation of the Services; (5) use automated means (bots, scrapers, etc.) to access the Services without our prior written consent; or (6) misrepresent your identity or affiliation with any person or entity. We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms or are using the Services in a way that could cause harm to AIM-UP, other users, or third parties.
9. AI-Powered Features
The Services may use artificial intelligence and machine learning (“AI Features”) to generate outputs such as: summaries of assessment results; suggested goals, talking points, or action plans; draft emails or messages; and visualizations, pattern alerts, and similar recommendations. You understand and agree that: AI-generated outputs may be incomplete, inaccurate, or not suitable for your specific circumstances; AI Features are provided for informational and decision-support purposes only; you are responsible for independently evaluating any AI output before relying on it, especially for decisions that may affect employment, finances, health, or legal rights; AIM-UP does not make employment or other people-related decisions on behalf of customers, and AI Features must not be treated as the sole basis for any such decision; and AI Features do not provide legal, medical, tax, mental health, or investment advice and are not a substitute for professional judgment.
10. Payments, Subscriptions, and Fees
Fees for the Services may be charged to Organizations under an Enterprise Agreement (B2B), and, if offered by AIM-UP from time to time, directly to individual users through online purchase flows. If you purchase any paid Services directly from AIM-UP, you agree to pay all applicable fees, charges, and taxes using a valid payment method. Unless otherwise stated at the time of purchase or required by law, fees are non-refundable. If your Organization is responsible for payment, its failure to pay may result in suspension or termination of your access.
11. Suspension, Deactivation, and Reactivation
We may suspend or deactivate accounts or certain features where we reasonably believe it is necessary for: security, fraud prevention, or misuse; compliance with law or legal process; or implementation of an Organization's instructions (for example, where an employee leaves or a contract ends). We generally do not deactivate accounts solely because a user has not logged in for a period of time while a paid subscription or contract remains in good standing. We may, however, classify accounts as “inactive” internally for security and housekeeping. For Organization-provisioned accounts: reactivation (including after periods of dormancy) may require confirmation from the Organization's authorized admin and may involve updated roles or permissions.
12. Third-Party Services
The Services may interoperate with or rely on third-party services such as hosting infrastructure, authentication tools, email services, fonts, productivity tools, or other technical service providers used to operate the platform. In addition, an Organization may choose to connect AIM-UP with certain third-party systems, such as identity, HR, scheduling, or other enterprise tools. Any such integrations are subject to the Organization's configuration and the applicable third party's own terms and privacy practices. AIM-UP does not control third-party services and is not responsible for their independent content, policies, or practices. Your use of third-party services is subject to their own terms and privacy policies.
13. No Professional Advice; Not an Emergency Service
The Services, including AI Outputs and any educational content, are provided for informational and development purposes only. AIM-UP does not provide: legal advice; medical or mental health treatment; tax or investment advice; or any other regulated professional services. Nothing in the Services creates an attorney-client, therapist-client, or other professional relationship between you and AIM-UP. The Services are not an emergency or crisis service. If you or someone else is in immediate danger or experiencing a crisis, contact local emergency services or appropriate hotlines, not AIM-UP.
14. Disclaimers
To the maximum extent permitted by law, the Services and all AIM-UP Content and AI Outputs are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You use the Services at your own risk. AIM-UP does not warrant that: the Services will be uninterrupted, secure, or error-free; any particular outcome, promotion, or result will be achieved, including any business, organizational, developmental, hiring, retention, or other outcome; or any defects will be corrected. Certain statistics, studies, and third-party findings referenced in the Services or otherwise made available through the Services are sourced from independent third-party publications and are provided for general informational and market-context purposes only. Such materials remain the property of their respective owners. AIM-UP does not independently verify and does not warrant the accuracy, completeness, or continued availability of third-party content.
15. Limitation of Liability
To the maximum extent permitted by law, AIM-UP and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, or loss of data, arising out of or relating to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages. AIM-UP's total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (i) the amount you paid to AIM-UP for the Services in the six (6) months preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless AIM-UP and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your User Content; or your violation of these Terms or of any law or rights of a third party.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top. If we make material changes, we will take reasonable steps to notify you (for example, by email or in-product notice). Your continued use of the Services after the revised Terms become effective means you accept the changes.
18. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law rules. You and AIM-UP agree that the state and federal courts located in Miami-Dade County, Florida, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction and venue of those courts.
19. Miscellaneous
These Terms (together with any Enterprise Agreement, if applicable, and any additional terms presented at purchase) are the entire agreement between you and AIM-UP regarding the Services. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
